Welcome to the Terms & Conditions (“Terms”) for supplierIQ. These Terms are hereby effective on and will apply to the website that you are visiting, www.supplierIQ.us (the “Website”), which is owned by The SupplierIQ®, LLC (“supplierIQ”). Please note that your use of the Website and supplierIQ membership are also governed by our Privacy Policy. If you sign up for a membership, you accept these terms, conditions and requirements.

Illegal or Abusive Usage is Strictly Prohibited:

You must not abuse, harass, threaten, impersonate or intimidate other users of our Website. You may not use the supplierIQ’s Website for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content. Should you be found to have engaged in illegal or abusive usage of our Website, supplierIQ will suspend your account or usage as applicable.

When you visit our Website or send us emails, you are communicating with us electronically. You consent to receive communications from us electronically. Your Account:

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. supplierIQ reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

Fees and Renewal:

The annual membership fee is stated on our Website. From time to time, we may offer different membership terms, and the fees for such membership may vary. The supplierIQ membership fee is non-refundable except as expressly set forth in these Terms. Taxes may apply on the membership as required by applicable law. Only credit cards are eligible for payment of your supplierIQ membership. Do not sign up for supplierIQ with a debit card.

If all credit cards we have on file for you are declined for payment of your membership fee, your membership will be canceled. If you provide us with a new credit card and are successfully charged, your new membership period will be based on the date of the successful charge.

UNLESS YOU NOTIFY US BEFORE A CHARGE THAT YOU WANT TO CANCEL OR DO NOT WANT TO AUTO RENEW, YOU UNDERSTAND YOUR SUPPLIERIQ MEMBERSHIP WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE MEMBERSHIP FEE AND ANY TAXES, USING ANY CREDIT CARD WE HAVE ON RECORD FOR YOU.

Promotional Trial Memberships:

We sometimes offer certain customers various trial or other promotional memberships, which are subject to these Terms except as otherwise stated in the promotional offers. Trial memberships may at any time (through your Account) choose not to continue to paid membership at the end of the trial period.

Other Limitations:

We reserve the right to accept or refuse membership at our discretion. You may not transfer or assign your supplierIQ membership or any supplierIQ benefits, except as allowed in these Terms. From time to time, supplierIQ may choose at its sole discretion to add or remove membership benefits.

Termination by Us:

We may terminate your supplierIQ membership at our discretion without notice. If we do so, we will give you a prorated refund based on the number of full months remaining on your membership. However, we will not give any refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, involves fraud or misuse of the supplierIQ membership, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.

Disclaimer of Warranties and Limitation of Liability:

THIS SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THIS SITE ARE PROVIDED BY SUPPLIERIQ ON AN “AS IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. SUPPLIERIQ MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THIS SITE, UNLESS OTHERWISE SPECIFIED IN WRITING. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
